By accessing or using Credely ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service.

2. Description of Service

Credely is a career achievement tracking platform that helps professionals document their accomplishments, track their impact, and prepare for performance reviews and promotions. The Service includes features such as achievement logging, insights analytics, performance review generation, and reminder notifications.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

3.2 Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Acceptable Use

You retain all rights to the content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or account, except where content has been shared with others and they have not deleted it.

7. Subscription and Payment

7.1 Free and Paid Services

  • Subscriptions automatically renew unless canceled before the renewal date
  • We may change our pricing with 30 days' advance notice
  • All fees are non-refundable except as required by law
  • You are responsible for all taxes associated with your subscription

7.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

8.1 Termination by You

You may terminate your account at any time by deleting it through your account settings or contacting us.

8.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach these Terms
  • You engage in fraudulent or illegal activities
  • Your use of the Service poses a security risk
  • We are required to do so by law

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete or anonymize your personal information as described in our Privacy Policy. However, some provisions of these Terms will survive termination, including intellectual property rights, disclaimers, and limitations of liability.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose
  • Non-infringement or course of performance
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of content

We do not warrant that the Service will meet your requirements or that defects will be corrected. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CREDELY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, use, or goodwill
  • Business interruption
  • Personal injury or property damage
  • Any damages arising from your use or inability to use the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Credely and its affiliates, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. We'll try to resolve disputes in good faith.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

12.3 Arbitration

Any disputes that cannot be resolved informally will be resolved through binding arbitration, except that you may assert claims in small claims court if they qualify. You waive your right to a jury trial and to participate in class actions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. We may also send you an email notification. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Credely regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or government actions.
